1. Service provider
These terms govern the media buying, performance marketing and creative services (the "Services") provided by Prometeus Bli SIA, registration number 50203572461, VAT number LV50203572461, registered office at Gramzdas iela 82 - 62, Riga, LV-1029, Latvija ("Prometeus", "we", "us"). By engaging our Services you accept these terms.
2. Scope of services
Prometeus operates as a media buying team. We plan, launch, optimise and report on paid advertising campaigns across channels including Meta, Google, TikTok, native and other platforms. We also produce advertising creative and implement tracking and attribution. We are not an advertising platform, we do not sell or rent advertising accounts, and we do not guarantee specific advertising results.
3. Engagements and fees
The commercial terms for each engagement — minimum monthly spend, retainer, performance component and payment schedule — are set out in the written agreement signed between you and Prometeus. Unless agreed otherwise, invoices are payable within fourteen (14) days of issue. Late payments may result in suspension of Services.
4. Your responsibilities
You agree to provide accurate information, timely access to accounts and platforms, brand and product assets, and any approvals required for campaigns to go live. You are responsible for the accuracy of claims made in advertising and for compliance of your products and landing pages with applicable law and platform policies.
5. Advertising accounts and spend
Media spend is funded by you unless expressly agreed otherwise in writing. Prometeus is not liable for platform suspensions, account limitations, policy changes or spend rejected by third-party advertising platforms. Where we operate accounts on your behalf, you retain ownership of your customer data.
6. Intellectual property
All creative, copy, strategy and reporting produced for you is licensed for use in your advertising campaigns for the duration of the engagement. Prometeus retains the right to reference aggregated, non-confidential campaign results for case studies and marketing, unless you object in writing.
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement, including campaign data, financials and strategy. This obligation survives termination of the engagement.
8. Limitation of liability
To the maximum extent permitted by law, Prometeus is not liable for indirect or consequential losses, loss of profit, or loss arising from third-party platform decisions. Total liability is limited to the fees paid by you to Prometeus in the three (3) months preceding the claim.
9. Termination
Either party may terminate the engagement with the notice period set out in the signed agreement, or immediately in case of material breach. Upon termination, outstanding fees become payable and access to shared accounts is transferred back to you.
10. Governing law
These terms are governed by the laws of the Republic of Latvia. Any dispute shall be resolved in the courts of Riga, Latvia, unless the signed agreement provides otherwise.
